1. Agreement to the Terms
By accessing the website, submitting a project brief, requesting a quote, using the portal, ordering services, or otherwise using Kodelamp services, you agree to these Terms to the extent they apply to that activity.
2. Legal Entity and Trade Name
Codicis Moneta, LLC, doing business as Kodelamp provides the website and services under the public trade name Kodelamp.
3. Eligibility
You must be able to enter into a binding agreement and use the services only for lawful business or personal purposes.
5. Electronic Communications
You agree that written communications, portal messages, emails, electronic notices, checkbox acknowledgements, and digital records may be used for service, support, quote, invoice, and account workflows.
6. Description of Services
Kodelamp designs, builds, hosts, integrates, licenses, maintains, and supports websites, custom web applications, booking and scheduling systems, payment workflows, dashboards, automations, hosting services, domain services, and related business systems.
7. Informational Website Content
Website content is provided for general information about services and does not create a project commitment, professional guarantee, or legal, tax, accounting, security, or financial advice.
8. Project Enquiries and Quotations
Submitting a project brief or quote request starts a written review process. It does not require Kodelamp to accept the project or hold any quoted availability or pricing unless confirmed in writing.
9. Proposals and Statements of Work
Specific proposals, statements of work, order forms, hosting agreements, data-processing agreements, or other written service agreements may define scope, pricing, timeline, deliverables, and acceptance criteria.
10. Order of Precedence Among Agreements
If a specific written agreement conflicts directly with these general Terms, the specific written agreement controls for that conflict.
11. Account Registration
Portal access may require an account created by Kodelamp or an authorized administrator. Public self-registration is not currently enabled.
12. Account Security
You are responsible for protecting account credentials, using accurate contact information, and notifying Kodelamp promptly if you suspect unauthorized access.
13. Client Responsibilities
You are responsible for timely decisions, accurate information, lawful content, access to required systems, approvals, credentials delivered through secure channels, and cooperation needed to complete services.
14. Accuracy of Supplied Information
Quotes, workflows, domains, hosting, integrations, and project decisions may depend on information you provide. Incorrect or incomplete information can affect scope, price, timing, and results.
15. Content and Materials Supplied by Clients
You retain responsibility for client-provided text, images, files, data, marks, credentials, access, and other materials, including permissions, accuracy, legality, and suitability.
16. Rights to Use Client-Provided Materials
You grant Kodelamp the rights needed to use client-provided materials for the requested services, including design, development, hosting, integration, support, testing, migration, and delivery.
17. Development Services
Development services may include planning, UI/UX, Laravel/PHP work, integrations, forms, dashboards, portals, workflows, testing, launch support, and maintenance as defined by the applicable written scope.
18. Project Scope
Scope is limited to what is described in the applicable quote, proposal, statement of work, order, or written agreement. Out-of-scope work may require a change request.
19. Revisions and Change Requests
Revisions and change requests are handled according to the applicable written agreement. If no specific rule exists, Kodelamp will identify the impact on scope, timeline, and fees before proceeding.
20. Project Timelines
Timelines are planning estimates unless a specific written agreement says otherwise. Client delays, third-party outages, access issues, provider approvals, and change requests may affect delivery.
21. Client Delays and Dependencies
If work depends on client materials, approvals, credentials, content, payment, or provider action, delays in those dependencies may delay the project.
22. Acceptance and Launch
Acceptance and launch requirements should be stated in the applicable written agreement. A launch may depend on approval, payment status, provider readiness, DNS, content, accessibility review, and technical checks.
23. Business-System Implementations
Business-system work may involve operational records, roles, booking logic, payments, notifications, dashboards, and integrations. Requirements must be confirmed in writing before live operational use.
24. Third-Party Integrations
Third-party APIs, payment gateways, hosting providers, email systems, analytics, CRMs, and other services remain subject to their own terms, limits, availability, pricing, and approval processes.
25. Hosting Services
Hosting services may include provider-backed plans, setup, migration, configuration, monitoring, support, and related technical ownership. Specific hosting features depend on the selected plan and provider.
26. Domain Services
Domain services may include search, registration, transfer support, DNS coordination, renewal tracking, and provider handoff. Domain availability, registry rules, WHOIS/contact rules, redemption, and pricing may be controlled by registries and providers.
27. ResellersPanel-Provided Services
ResellersPanel or related provider systems may fulfil portions of hosting, domain, checkout, billing, control-panel, and password-recovery workflows. Kodelamp remains the integrated service partner for its local support, CRM, billing, project, and portal records.
28. Provider Control Panels
Provider control-panel credentials and password-recovery submissions are posted directly to the hosting provider when the provider form is used. Kodelamp does not receive provider passwords through that form.
29. Provider Outages and Maintenance
Provider outages, maintenance, API limits, registration delays, control-panel issues, or remote iframe problems may affect hosting and domain workflows. Kodelamp will use reasonable operational steps within its control.
30. Payment Services
Payment workflows may include PayPal, WiPay International, bank transfer, invoices, receipts, webhooks, reconciliation, legal-acceptance records, and manual review. The application does not store full payment-card numbers or card security codes. Browser return pages do not mark invoices paid by themselves.
31. PayPal
PayPal payments, when enabled, are subject to PayPal terms, fees, risk controls, account requirements, settlement timing, and dispute processes.
32. WiPay International
WiPay International payments, when enabled, are subject to WiPay terms, supported currencies, account requirements, risk controls, settlement timing, and dispute processes.
33. Bank Transfers
Bank-transfer payments require verified payment instructions and manual verification. Uploading proof does not by itself mark an invoice paid.
34. Fees
Fees are described in the applicable quote, invoice, proposal, order form, subscription, hosting plan, maintenance plan, retainer, or written agreement.
35. Deposits
Deposits, if any, are governed by the applicable written agreement or invoice. These Terms do not invent a default deposit rule.
36. Recurring Charges
Recurring charges require the applicable plan, subscription, retainer, hosting service, maintenance plan, or written authorization before any recurring charge begins.
37. Invoices
Invoices may show status, currency, line items, payment steps, receipts, and related order or project records. Browser return pages alone do not mark invoices paid.
38. Taxes
Taxes, if applicable, depend on configuration, location, service type, law, and written agreement. Tax handling must be confirmed before taxable invoices are issued.
39. Late or Failed Payments
Late-payment consequences, failed-payment handling, fees, interest, grace periods, and collection steps must be stated in a specific agreement or invoice; these Terms do not invent percentages or periods.
40. Suspension for Nonpayment
Kodelamp may suspend or limit work or services for unpaid, failed, disputed, or unauthorized payments where permitted by the applicable agreement and law, especially where continuing service would create operational or provider risk.
41. Cancellations
Cancellation rights, notice requirements, and effects are governed by the applicable proposal, order, provider rule, hosting agreement, subscription, retainer, or written service agreement.
42. Refunds
Refund eligibility depends on the applicable agreement, service type, provider rules, work already performed, third-party costs, payment status, and law. These Terms do not create a blanket refund period or a blanket no-refund rule.
43. Renewals
Hosting, domain, maintenance, care, subscription, and retainer renewals depend on the applicable written terms, provider rules, payment status, and production configuration.
44. Domain Expiration and Redemption Risks
Domain expiration can lead to service interruption, redemption fees, loss of domain rights, or third-party registration. Registry and provider rules may control availability and recovery.
45. Hosting Migration and Termination
Hosting migration or termination may require backups, access, DNS changes, provider cooperation, payment status review, and timing coordination. Data loss risk should be addressed before terminating or moving services.
46. Acceptable Use
You may use services only for lawful purposes and in a way that does not harm systems, users, providers, networks, intellectual property rights, security, or service availability.
47. Prohibited Content and Activity
Prohibited activity includes unlawful content, rights infringement, fraud, deceptive activity, harassment, malware, phishing, spam, credential theft, network abuse, excessive resource use, and activity forbidden by provider terms.
48. Security Abuse
You must not attempt unauthorized access, vulnerability exploitation, credential stuffing, scraping that harms service, bypassing controls, or interference with application, provider, or user security.
49. Spam and Malicious Software
Spam, unsolicited bulk messaging, malicious software, botnets, phishing, and abusive automation are prohibited and may trigger suspension or provider action.
50. Intellectual Property
Each party retains its pre-existing intellectual property except as expressly transferred or licensed in a written agreement.
51. Pre-Existing Kodelamp Materials
Kodelamp retains ownership of its pre-existing tools, reusable code, templates, frameworks, documentation, processes, know-how, design systems, libraries, and internal methods.
52. Reusable Components, Frameworks, and Libraries
Deliverables may include reusable components, open-source packages, provider services, and Kodelamp-owned foundations. Client rights to use them are limited to the applicable license or written agreement.
53. Open-Source Software
Open-source software remains governed by its own licenses. You agree to comply with those license terms where they apply to deliverables or dependencies.
54. Client Deliverables
Ownership or licensing of custom deliverables is governed by the applicable proposal, statement of work, license, order form, or written service agreement.
55. Licence Restrictions
Unless expressly allowed, you may not resell, sublicense, reverse engineer, remove notices from, misuse, or separate Kodelamp reusable materials from their intended deliverable context.
56. Portfolio and Publicity Rights Only When Separately Authorized
Kodelamp will not publish client names, logos, testimonials, private screenshots, outcomes, or metrics unless separately authorized.
57. Feedback
If you provide feedback, suggestions, or ideas, Kodelamp may use them to improve services without owing compensation, unless a written agreement says otherwise.
58. Confidentiality
Each party should protect non-public business, technical, financial, credential, and project information with reasonable care and use it only for the relevant service relationship.
59. Data Protection
Data handling is described in the Privacy Policy and any applicable data-processing agreement or written contract.
60. Backups and Data Loss
Backups, restoration, and data-retention responsibilities depend on the service plan, provider, and written agreement. Kodelamp does not guarantee backups, restoration, or absence of data loss unless a specific written agreement provides that obligation.
61. Support and Maintenance
Support and maintenance may include tickets, updates, troubleshooting, monitoring, content changes, security review, hosting help, and issue triage as defined by the applicable plan or agreement.
62. Service Modifications
Kodelamp may update, improve, suspend, replace, or discontinue services or features, subject to active written agreements and reasonable operational notice where practical.
63. Beta or Preview Functionality
Beta, pilot, preview, demonstration, test, or concept functionality is provided for evaluation and may be incomplete, changed, disabled, or unsuitable for live operational reliance.
64. Third-Party Services and Links
Third-party services and links are controlled by their own providers. Kodelamp is not responsible for independent third-party terms, privacy practices, security, pricing, outages, or decisions.
65. No Guarantee of Business Outcomes
Kodelamp does not guarantee sales, leads, revenue, profits, operational savings, conversion rates, or business outcomes.
66. No Guarantee of Search-Engine Rankings
Kodelamp may implement technical SEO foundations, but does not guarantee rankings, traffic, indexing speed, algorithm outcomes, or search-engine decisions.
67. No Guarantee of Uninterrupted Service
Websites, hosting, domains, payment providers, networks, and third-party services can experience interruptions. No uptime percentage is promised unless stated in a specific written service-level agreement.
68. Disclaimers
Services are provided according to the applicable written scope and, to the fullest extent permitted by law, without warranties not expressly stated in a specific written agreement.
69. Limitation of Liability
Any limitation of liability should be set by the applicable written agreement and attorney review. These Terms do not invent a monetary liability cap.
70. Indemnification
You are responsible for claims arising from your unlawful content, misuse of services, breach of these Terms, violation of third-party rights, or inaccurate materials, to the extent permitted by applicable law and any specific agreement.
71. Suspension and Termination
Kodelamp may suspend or terminate access or services for material breach, nonpayment, security risk, unlawful activity, provider requirement, or other grounds stated in the applicable agreement.
72. Effect of Termination
Termination may affect access, hosting, domains, files, support, invoices, backups, licenses, and provider services. Surviving payment, confidentiality, IP, acceptable-use, data, and dispute obligations may continue.
73. Governing Law
These Terms are intended to be governed by the laws of Tennessee, United States, unless a specific written agreement or mandatory law says otherwise. County, court venue, and conflict details should be confirmed through legal review.
74. Dispute Process
Before formal action, the parties should attempt to resolve disputes through written notice and good-faith discussion. These Terms do not require arbitration or waive class actions unless separately approved in a specific written agreement reviewed by counsel.
75. International Clients
International clients are responsible for complying with laws that apply to their business, content, customers, taxes, imports/exports, privacy obligations, and use of services in their locations.
76. Changes to the Terms
Kodelamp may update these Terms as services and legal requirements change. Material changes may require new acknowledgement where appropriate.
77. Severability
If part of these Terms is unenforceable, the rest remains effective to the fullest extent permitted by law.
78. No Waiver
A delay or failure to enforce a provision is not a waiver of the right to enforce it later.
79. Assignment
You may not assign service rights or obligations without written permission. Kodelamp may assign rights or obligations in connection with a business transfer, reorganization, provider transition, or as allowed by a specific agreement.
80. Entire Agreement
These Terms plus any applicable written proposal, statement of work, order, invoice, hosting agreement, license, data-processing agreement, or service agreement form the agreement for the relevant service.
81. Contact Information
Use the public support page or authenticated portal support ticket for service questions. Legal contact details should be configured if a direct legal email or mailing address will be offered.
